Agreement to Terms

These Terms of Service («Terms») govern your access to and use of Facturo («Service»), operated by Facturo («we», «us»). By creating an account or using the Service, you agree to these Terms. If you disagree, do not use the Service. Our Privacy Policy explains how we process personal data and is incorporated by reference.

Eligibility

You must be legally able to enter into a binding contract in your jurisdiction. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Accounts and Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized access. You must provide accurate registration information.

Plans, Trials, and Payments

Some features require a paid subscription or may be metered according to your plan limits. Payments are processed by our payment processor (e.g., Stripe); their terms apply to billing. Trials and promotional offers are described at signup. Taxes may apply where required by law.

Acceptable Use

You agree not to misuse the Service or help anyone else do so. For example, you must not:

  • Use the Service in violation of law or for fraudulent, misleading, or illegal invoices.
  • Attempt to gain unauthorized access to our systems, other users’ data, or probe or scan vulnerabilities without permission.
  • Upload malware, excessively burden our infrastructure without cause, or reverse engineer except where statutory rights apply.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Use automated means to scrape the Service contrary to robots.txt / rate limits.

Your Content

You retain rights to invoices, attachments, partner data and other materials you submit («Customer Data»). You grant us the license necessary to operate, secure, backup, and improve the Service and to comply with law. You are solely responsible for the accuracy and lawful use of Customer Data.

Intellectual Property

The Service (software, logos, layouts, excluding your Customer Data) is owned by us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during subscription or free tier as permitted by us.

Disclaimer of Warranties

The Service is provided «as is» and «as available» without warranties of merchantability or fitness for a particular purpose beyond what mandatory law requires. We do not warrant uninterrupted or error‑free operation.

Limitation of Liability

To the maximum extent permitted by law, Facturo shall not be liable for indirect, incidental, special, consequential, or punitive damages or loss of profits, data, or goodwill arising from these Terms or the Service. Our aggregate liability for direct damages is limited to the fees you paid to us for the Service in the three (3) months preceding the claim, except where statute forbids limitation.

Indemnity

You will defend and indemnify us against third-party claims arising from your Customer Data, your breach of these Terms, or misuse of the Service.

Suspension and Termination

We may suspend access for lawful reasons, misuse, payment failure, or security risk. You may terminate by closing your account where the product permits. Survival provisions (limitations, indemnity, governing law where applicable, and accrued payment obligations) continue after termination.

Changes to the Terms

We may update these Terms periodically. Material changes will be communicated in-app or by email when appropriate. Continuing to use the Service after updates constitutes acceptance of the revised Terms, except where your explicit consent or local law requires otherwise.

Governing Law and Venue

Unless mandatory consumer law of your country dictates otherwise, these Terms are interpreted by the laws designated by Facturo in your order form or company registration disclosures, excluding conflict-of-law rules. Courts in that jurisdiction have exclusive venue, unless you enjoy non-waivable rights as a consumer.
